Terms of Service

By accessing or using the RunoxAI API and related services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services. These Terms apply to all users of the Services, including developers, organizations, and any other parties who access or use the Services. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

RunoxAI provides a web search API and related tools that allow developers to integrate semantic search capabilities into their applications ("Services"). The Services include: • Search API: Access to our neural search infrastructure • Websets: Structured web data extraction and enrichment • SDKs and developer tools • Documentation and support resources We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

To use the Services, you must create an account and obtain an API key. You are responsible for: • Providing accurate and complete registration information • Maintaining the security and confidentiality of your API key • All activity that occurs under your account • Notifying us immediately of any unauthorized use You may not share your API key with third parties, use the Services on behalf of others without authorization, or create multiple accounts to circumvent usage limits. We reserve the right to revoke or suspend API keys at our sole discretion for violations of these Terms.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to: • Use the Services to collect, harvest, or store personal data without consent • Attempt to circumvent, reverse engineer, or interfere with the Services • Use the Services to send spam or unsolicited communications • Engage in scraping or data collection that violates third-party terms of service • Use the Services for any illegal, harmful, or fraudulent purpose • Attempt to exceed rate limits or circumvent usage restrictions • Resell or sublicense the Services without our written permission Violation of these policies may result in immediate suspension or termination of your account.

The Services are provided on a subscription basis with usage-based pricing. By subscribing to a paid plan, you agree to pay all applicable fees as described on our pricing page. All fees are non-refundable except as required by law or as explicitly stated in our refund policy. We reserve the right to change our pricing with 30 days' notice. If you fail to pay fees when due, we may suspend or terminate your access to the Services. You are responsible for all taxes associated with your use of the Services.

RunoxAI retains all intellectual property rights in the Services, including but not limited to software, algorithms, interfaces, and documentation. These Terms do not grant you any rights to our intellectual property except for the limited license to use the Services as described herein. You retain ownership of any data or content you provide to us or generate through the Services. By using the Services, you grant us a limited license to process your data as necessary to provide the Services. Search results and data returned by our API are subject to the terms of their original sources and applicable copyright law.

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. We collect and process data as described in our Privacy Policy. Query data may be used to improve our Services, subject to anonymization and aggregation. We implement appropriate technical and organizational measures to protect your data. You are responsible for ensuring that your use of the Services complies with applicable privacy laws, including GDPR and CCPA where applicable.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT SHALL RUNOXAI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless RunoxAI and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: • Your access to or use of the Services • Your violation of these Terms • Your violation of any third-party rights • Any content or data you submit to or through the Services

Either party may terminate these Terms at any time. You may terminate by deleting your account and ceasing use of the Services. We may terminate your access for any reason, including violation of these Terms. Upon termination, your right to use the Services will immediately cease. We may retain your data as required by law or for legitimate business purposes for a period of up to 90 days following termination. Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in San Francisco, California, under the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration. Either party may seek injunctive or equitable relief in any court of competent jurisdiction.

We may update these Terms at any time. We will notify you of material changes by posting the new Terms on this page with an updated date and, for significant changes, by sending an email to the address associated with your account. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.
